Terms of Service

1. Acceptance and Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Paktio (the "Platform"), a web-based service provided for the creation, signing, and management of digital agreements. By creating an account or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these terms, you must immediately cease all use of the Platform.

2. Definitions

"Platform" means the Paktio website, application, and all associated services, including the "Legal Architect" drafting tools and electronic signature features. "User" (or "you") means the individual or entity accessing the Platform. "AdES" refers to Advanced Electronic Signatures as defined by the EU eIDAS Regulation (No 910/2014). "Integrity Rule" refers to the cryptographic verification methodology employed by Paktio to seal document states. "User Content" refers to any data, text, or documents uploaded or drafted by the User on the Platform.

3. Description of Service

Paktio provides high-end agreement management tools, including AI-native drafting with character-level precision and cryptographic document integrity. The Platform is currently in an MVP (Minimum Viable Product) and testing phase. Features are provided "as-available" to facilitate modern legal workflows.

4. User Accounts and Security

You are responsible for maintaining the security of your account, including the use of strong passwords and enabling Multi-Factor Authentication (MFA) where available. Paktio is not liable for unauthorized access resulting from insecure account management. You agree to provide accurate information and to notify us immediately of any unauthorized use of your account.

5. Legal Validity and Compliance

Paktio provides tools for Advanced Electronic Signatures (AdES) in accordance with eIDAS standards. However, it is your sole responsibility to ensure that your specific agreements do not require a Qualified Electronic Signature (QES) or other physical formalities under local law. Paktio does not guarantee the enforceability of any specific document in any specific jurisdiction.

6. The Integrity Rule

Paktio enforces a strict document integrity policy. Every document is sealed with a unique SHA-256 hash. Any modification of document content after a signature has been applied will result in the immediate and irreversible voiding of all existing signatures for that version. This ensures that what you sign is exactly what stays on record.

7. Acceptable Use and Prohibited Conduct

You agree to use the Platform only for lawful purposes. Prohibited conduct includes: attempting to interfere with the Platform's cryptographic security or the Integrity Rule; using AI drafting tools to generate fraudulent or illegal documents; uploading any content that infringes on third-party intellectual property or privacy rights; and reverse engineering or attempting to extract the source code of the Platform.

8. Intellectual Property Rights

All rights, title, and interest in and to the Platform (excluding User Content) are and will remain the exclusive property of Paktio. This includes all software, design elements, aesthetic tokens, and AI-native drafting logic.

9. User Content and License Grant

You retain all ownership rights to your User Content. You grant Paktio a limited, non-exclusive, royalty-free license to host, store, and process your content solely for the purpose of providing the Service. Paktio acts as a processor for your data in accordance with the GDPR and EEA standards.

10. Data Protection and Privacy (GDPR)

Your privacy and document sovereignty are central to Paktio. We handle all personal data in accordance with our Privacy Policy. By using the Platform, you acknowledge that we store document metadata and cryptographic hashes to ensure the permanence and integrity of your agreements.

11. Disclaimers: "AS IS" and Accuracy

Paktio is a technology provider, not a law firm. The Platform is provided "AS IS" without any warranties of any kind. Paktio is a technical tool designed to facilitate agreement creation; it is the sole responsibility of users to confirm the legal validity and regulatory compliance of any contract or agreement content. We do not provide legal advice. All AI-generated drafts should be reviewed by a qualified legal professional before use.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Paktio and its operators shall not be liable for any damages or losses. Given its current testing/MVP status, Paktio’s total liability is strictly limited to zero (0 NOK) for all claims and causes of action.

13. Indemnification

You agree to indemnify and hold harmless Paktio from any claims, liabilities, or expenses (including legal fees) arising from your misuse of the Platform, your violation of these Terms, or your infringement of any third-party rights.

14. Termination and Suspension

We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users or the Platform’s integrity.

15. Modification of Terms

Paktio may update these Terms from time to time. We will notify you of material changes by posting the new Terms on the website. Continued use of the Platform after changes constitutes your acceptance of the revised Terms.

16. Governing Law and Jurisdiction

These Terms and any disputes relating to them shall be governed by the laws of Norway. Any legal action shall be brought exclusively in the courts of Oslo, Norway.
